Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the BizFlow platform ("Service") operated by BizFlow ("we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you are accepting these Terms on behalf of a company or organization, you represent that you have the authority to bind that entity.

1. Acceptance of Terms

By accessing or using BizFlow, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service. We may update these Terms at any time, and your continued use constitutes acceptance of any changes.

2. Description of Service

BizFlow is a cloud-based sales management and CRM platform that provides tools for:

  • Managing contacts, accounts, leads, and opportunities
  • Creating and tracking quotes, sales orders, and invoices
  • Workflow automation and task management
  • Email marketing campaigns and SMS notifications
  • Sales pipeline visualization and analytics
  • Team collaboration with role-based access controls
  • Third-party integrations (webhooks, email providers, Twilio)

The Service is provided on a subscription basis with various plan tiers offering different features and usage limits.

3. User Accounts

3.1 Registration

You must provide accurate, complete, and current information when creating an account. You may register using email/password or through supported OAuth providers (e.g., Google).

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at support@bizflow.com if you suspect unauthorized access.

3.3 Company Workspaces

When you create or join a company workspace, the workspace administrator controls access permissions, user roles, and data visibility within that workspace.

4. Subscriptions & Billing

4.1 Plans and Pricing

BizFlow offers multiple subscription plans with varying features, user limits, and storage quotas. Current pricing is available on our website and within the application.

4.2 Billing Cycle

Subscriptions are billed in advance on either a monthly or annual basis, depending on your chosen plan. Annual plans may include a discount compared to monthly billing.

4.3 Payment Processing

Payments are processed securely through Stripe. By providing payment information, you authorize us to charge the applicable subscription fees.

4.4 Cancellation and Refunds

You may cancel your subscription at any time from your account settings. Upon cancellation, you retain access until the end of the current billing period. Refunds for annual subscriptions may be issued on a pro-rata basis within 14 days of purchase. Monthly subscriptions are non-refundable.

5. Free Trial

We may offer a free trial period for new users. During the trial, you have access to selected features. At the end of the trial, your account will be converted to a paid subscription if you provide payment information, or downgraded to a free tier. We reserve the right to modify or discontinue free trials at any time.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful, fraudulent, or harmful purpose.
  • Attempt to gain unauthorized access to any part of the Service, other accounts, or connected systems.
  • Interfere with or disrupt the integrity, performance, or availability of the Service.
  • Upload or transmit viruses, malware, or other malicious code.
  • Use the Service to send unsolicited bulk communications (spam) through email or SMS features.
  • Scrape, crawl, or use automated tools to extract data from the Service without authorization.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Sublicense, resell, or redistribute the Service to third parties without written authorization.
  • Exceed the usage limits of your subscription plan (e.g., user seats, storage, API calls).

Violation of these terms may result in immediate suspension or termination of your account.

7. Data Ownership & Licensing

7.1 Your Data

You retain full ownership of all data, content, and information you submit to BizFlow ("Your Data"). We do not claim any ownership rights over Your Data.

7.2 License to Us

By using the Service, you grant us a limited, non-exclusive, worldwide license to process, store, and display Your Data solely for the purpose of providing and improving the Service.

7.3 Data Export

You may export Your Data at any time through the features provided in the Service. Upon account termination, you will have 30 days to export Your Data before it is permanently deleted.

8. Intellectual Property

The Service, including its design, code, features, documentation, logos, trademarks, and all related materials, is owned by BizFlow and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable right to use the Service during the subscription term. Nothing in these Terms transfers any ownership rights to you.

9. Confidentiality

Each party agrees to keep confidential any non-public information received from the other party in connection with the Service. This includes Your Data, our proprietary technology, and any business information shared between us. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

10. Service Availability

We strive to maintain high availability of the Service. However, we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

  • Scheduled maintenance (we will provide advance notice when possible).
  • Urgent security patches or critical updates.
  • Force majeure events beyond our reasonable control.
  • Third-party service outages (hosting, DNS, payment providers).

11. Termination

11.1 By You

You may cancel your subscription and delete your account at any time from your account settings.

11.2 By Us

We may suspend or terminate your access to the Service immediately if you violate these Terms, engage in fraudulent activity, or fail to pay subscription fees after reasonable notice.

11.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. You will have 30 days to export Your Data. After 30 days, we will permanently delete Your Data from our systems, except where retention is required by law.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • BizFlow shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill.
  • Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.
  • The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

13. Indemnification

You agree to indemnify, defend, and hold harmless BizFlow, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any third-party rights.

14. Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

14.2 Informal Resolution

Before filing any formal dispute, both parties agree to attempt to resolve the dispute informally by contacting each other in writing and negotiating in good faith for at least 30 days.

14.3 Arbitration

If informal resolution fails, any dispute shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Delaware, and the decision shall be final and binding.

15. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by posting a notice within the Service, sending an email, or updating the "Last updated" date above. Material changes take effect 30 days after notification. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the changes, you should discontinue use and cancel your subscription.

16. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and BizFlow regarding the Service.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
  • Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights without restriction.
  • Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, government actions, or internet disruptions.
